By working with GUMPTION as a client (or a business partner) you are agreeing to the following terms:
1. The client will provide all the necessary data and other information as and when required by GUMPTION Web Solutions Ltd. If there is any delay in providing the desired/necessary information from the client's side, then there may be a subsequent delay in the deliverables.
2. The client will designate a project coordinator for the purpose of interacting with GUMPTION Web Solutions Ltd personnel involved with the project. The coordinator will be responsible for all sign offs between the client and GUMPTION Web Solutions Ltd, acceptances, release of further job orders, release of our payments, providing the necessary information and resources to GUMPTION Web Solutions Ltd needed for development etc and his comments/confirmations will be accepted as the clients comments/confirmations.
3. It is estimated that the acceptance testing would take 15 days from the date of delivery as notified by GUMPTION Web Solutions Ltd in writing, but if it exceeds more than that due to delay from the clients side then the same shall be charged @ GBP 50 per day for extra days.
4. Orders once placed cannot be cancelled. The software is warranted for a period of 365 days from the date of acceptance. During the warranty period, only bug fixes will be executed. Bugs will be solved at GUMPTION Web Solutions Ltd site and a solution will be sent to the client.
5. Arbitration: In case of any dispute, the matter will be referred to an Arbitrator mutually agreed between the parties and decision of the Arbitrator shall be binding on both parties. The legal jurisdiction shall be the UK. The Liabilities of GUMPTION Web Solutions Ltd if any and if proven by the arbritrator/Court of Law will be limited to the amounts paid as advances by the customer towards this project as per the agreed payment Terms.
6. The assigned personnel on the project will work dedicatedly and diligently under GUMPTION Web Solutions Ltd's supervision. The works delivered do not carry any warranty or guarantee and will be done to GUMPTION Web Solutions Ltd's best efforts. If the client requests for working files/source files, then all completed works including source files will be handed over to the client on the completion of the contract period and on receipt of full payment as per invoices raised. GUMPTION Web Solutions Ltd's responsibility on the deliverables will be till the end of the contract period only and no tasks will be taken up on expiration of the contract period. Once the contract expires, GUMPTION Web Solutions Ltd will handover all work files to the client if requested and then on GUMPTION Web Solutions Ltd will not be responsible for the performance, integrity, quality or security of the codes delivered.
7. The charges do not include any fees for marketing. Above charges do not include any fees for photography of your products, content development.
8. Client will have to procure all necessary software and Server/Hosting rights required for the development of the Project and will have to provide the same to GUMPTION Web Solutions Ltd to carry out the development.
9. If software development / installation/test data run / installation / implementation / training is undertaken in a site outside Windsor, UK, the client will have to bear the travelling, boarding and lodging charges as per GUMPTION Web Solutions Ltd' s TA/DA policy.
10. Force Majeure: GUMPTION Web Solutions Ltd shall not be liable for any breach of its obligations resulting from causes beyond its reasonable control.
11. Client agrees to provide all content (Including but not limited to images and text) and specifications. GUMPTION Web Solutions Ltd is not liable or responsible for any content, site activities or Businesses conducted on the site and client agrees to bear full responsibility for the same in the event of any action from a third party and indemnify GUMPTION Web Solutions Ltd on the same.
12. You shall not directly nor indirectly, whether yourself or by any of your employees or agents or otherwise, have any business or commercial arrangements with GUMPTION's employees, freelancers or contacts you are introduced to by GUMPTION, without the written permission from the managing director at GUMPTION. A breach of this clause will entitle GUMPTION to the maximum level of compensation.
13. Unless otherwise specified in the project work, the following elements are not included:
a. time taken to resolve issues with the clients hosting company or a third party.
b. training of staff
c. maintaining the site (such as checking for site errors and keeping back-ups of the site)
d. actively marketing the site (such as managing the Adwords CPC campaign, link building activity or email marketing)
e. ongoing support in any form (such as email support, hosting support)
f. site updates
GUMPTION can provide these services at an additional charge.
Payment :
14. For all orders payment is at agreed stages and timings
15. Final payment settlement terms are within 14 days of completion of work or the date of the final invoice unless otherwise agreed.
16. All figures quoted exclude VAT, which will be charged accordingly.
17. All quotes, unless otherwise stated, are valid for 30 days from the time of receiving the quote.
18. The quotes do not include the costs of travel and any additional disbursements, which can be reclaimed from the client.
Delivery :
19. GUMPTION cannot be held responsible for the late delivery of the project, caused by 'acts of god', terrorism or the late delivery of information from the client including images, text and any other information the client has agreed to supply as part of the project.

20. GUMPTION reserves the right to place its logo and text 'Designed by gump-tion.co.uk' in the bottom right hand corner of each and every page GUMPTION has designed for the client.
